Introduction
The integrity of individuals is an important factor of Mercator’s and Montana & Montana’s business success. Mercator and Montana & Montana are selling products online. Both are also carriying adverts to other customers (hereafter the “Buyer/Buyers and Client/Clients”) that from time to time provide Mercator and Montana & Montana with personal data, as well as web surfers whose digital data is processed by Mercator and Montana & Montana as part of its provision of services to it’s Buyers and Clients (hereafter the “User/Users”), must be able to trust that data is processed by Mercator and Montana & Montana in accordance with applicable privacy laws and regulations.
This Privacy Policy was created in order for Clients and Users to better understand how information relating to them is processed by Mercator and Montana & Montana. The Privacy Policy is not exhaustive, but contains certain fundamental privacy principles applied by Mercator and Montana & Montana which Mercator and Montana & Montana considers to be of particular importance for Clients and Users to be aware of.
Part 1 of the Privacy Policy contains Mercator’s and Montana & Montana’s general privacy principles with regard to its processing of personal data provided by Clients, Users or other individuals.
Part 2 of the Privacy Policy contains information regarding Mercator’s and Montana & Montana’s processing of digital information about Users in relation to Mercator and Montana & Montana’s activities. It also contains requirements, to notify Users about Mercator and Montana & Montana’s services on their websites and obtain User´s consent when required by applicable laws.
Part 3 of the Privacy Policy contains contact information for different kinds of inquiries and requests relating to Mercator and Montana & Montana’s processing of data and this Privacy Policy.
This Privacy Policy was last revised on 21st January 2017. Mercator and Montana & Montana may at any time and without notice change it, e.g. to keep it compliant with applicable laws. You should therefore read this Privacy Policy each time you intend to provide Mercator and Montana & Montana with personal data.

Part 1 – General privacy principles
Personal data and controller of personal data
Personal data comprises all information that directly or indirectly can be referred to a natural person who is alive, e.g. name, postal address, e-mail address and phone number. A controller of personal data is the natural or legal person who processes personal data and who decides why and how such data shall be processed.
Mercator and Montana & Montana are the controller of personal data provided by you through the website ‘www.mercator.direct. Mercator and Montana & Montana is the Controller of personal data provided to us by you through sub-sites of www.mercator.direct, that are published and maintained by Mercator and Montana & Montana or its subsidiaries (all Mercator and Montana & Montana websites hereafter referred to as the “Site”) unless otherwise indicated when such data is collected, or personal data that you are asked to provide us with in other situations if not otherwise is indicated.
Collection of personal data
Personal data for which Mercator and Montana & Montana is controller may be provided by you to us e.g. in the following situations:
If you are a Client you may be required to provide us with personal and corporate information, such as name, address, email address and other account information, in order to be able to access and use our services;
As part of our sales efforts, we may collect and store data through online forms for contact purposes;
If you are a prospect Client, you may provide us with personal data through this Site when applying to join our network;
You may provide us with personal data when you send us inquiries relating to our services or in relation to this Privacy Policy.
Use of personal data
Mercator and Montana & Montana are committed to protect any personal data you provide to us and to process your personal data in accordance with this Privacy Policy and applicable laws.
Personal data provided to Mercator and Montana & Montana may be used for the following purposes; provide you requested products and services; manage Mercator and Montana & Montana’s agreed obligations and rights towards you; process payments; administration; internal analysis to improve or more effectively tailor Mercator and Montana & Montana’s Site, business or offerings generally; allow you access to agreed products and services; direct marketing; any other purpose you have consented to or which is allowed under applicable law. Disclosure and transfer of personal data
Personal data may be transferred to other companies within the Mercator and Montana & Montana group of companies. Mercator and Montana & Montana may as a consequence of service agreements with third parties, also transfer personal data to such third parties who process personal data on behalf of Mercator and Montana & Montana. Such service agreement shall contain obligations for third parties to process data only in accordance with Mercator and Montana & Montana’s instructions and to take appropriate measures to secure that the processing of the personal data is secure.
For any of the purposes described herein, personal data may be transferred to Mercator and Montana & Montana’s business partners within or outside the EU/EEA. Should any of the recipients reside in a country without adequate legal protection for personal data, Mercator and Montana & Montana will make reasonable efforts to make the recipient adopt the principles described in this Privacy Policy.
Consent
Where it is required by law or where Mercator and Montana & Montana otherwise deems it appropriate, Mercator and Montana & Montana will seek consent from you before Mercator and Montana & Montana processes your personal data. Such consent may e.g. be obtained by asking you to accept processing of your personal data in accordance with this Privacy Policy. If you do not agree to this Privacy Policy and/or other terms and conditions stated in connection with the collection, please do not provide personal data to us. Mercator and Montana & Montana reserves the rights not to provide you certain products or services should you choose not to provide required personal data.
Withdrawal of consent
You are at all times entitled to withdraw your consent to process personal data that you have provided to Mercator and Montana & Montana. In such case Mercator and Montana & Montana will not process your personal data based on consent any more.
You are entitled to request that Mercator and Montana & Montana shall not process your personal data for direct marketing purposes.

Right to information and rectification of personal data
Mercator and Montana & Montana will take reasonable measures to rectify, block or erase personal data that it is shown incorrect without undue delay. Part 3 of this Privacy Policy contains information about who you should contact if you would like us to correct personal data that we hold on you and which you consider incorrect.
To the extent required by law, we will inform you about Mercator and Montana & Montana’s processing of your personal data in connection with the initial collection or registration of your personal data. Such information may e.g. be provided by notifying you about this Privacy Policy.
You may request a copy of the personal data that Mercator and Montana & Montana holds about you (“Subject Access Request”). You are entitled to such information free of charge once a year. Destruction of personal data
Any personal data that we hold on you is only stored as long as it is required for us to keep them in order to fulfill the purposes for which they were collected. Data may however be necessary to store for a longer period due to legal requirements, e.g. for accountancy purposes.
Security
Mercator and Montana & Montana are dedicated to maintain the security of personal data and preventing unauthorized access through the implementation of appropriate technical and organizational measures, as far as is reasonably possible. Such security measures also include that personal data may be accessed only by a limited number of persons within Mercator and Montana & Montana.
Our employees are made aware of and must comply with Mercator and Montana & Montana’s security standards. When we occasionally use third-party contractors to perform tasks that might otherwise be performed by our employees, these contractors are contractually bound to adhere to this Privacy Policy and they are subject to similar restrictions as our employees.

In addition, Mercator and Montana & Montana may serve ads on this and other websites using our own ad-serving technology. In doing so, one of our ad servers will place or read a unique ad-serving cookie on your computer and will use non-personal information about your browser and your activity at this site to serve ads on this and other sites. Use of collected digital data
Mercator and Montana & Montana will use the User data in order to better target advertisements on behalf of our Clients, to provide aggregated non-personal reporting to our Clients, and to improve our advertising systems and products. The data may be combined with other anonymous information collected from other sources so that we may better serve Users with offers that may be of interest to them. We may also share anonymous data between companies within the Mercator and Montana & Montana group of companies.
Security

Introduction
All directors, officers and employees of Mercator and Montana & Montana (“the Company”) are expected to be familiar with this Code of Ethics and Conduct (“the Code”) and to adhere to these principles and procedures set forth in the Code. Mercator and Montana & Montana has a history of success as a result of fair and ethical business practices. We interact with a variety of stakeholders: advertisers, publishers, suppliers, colleagues, shareholders and regulatory bodies as well as the communities in which we operate. Our relationships and communication shall be honest, fact-based and transparent within the bounds of commercial confidentiality. We value interaction and therefore encourage constructive dialogue with all our stakeholders.
Mercator and Montana & Montana are committed to establishing mutually beneficial relations with our buyers, suppliers and business partners. In our business dealings we expect our partners to adhere to business principles consistent with our own.
Mercator and Montana & Montana’s Code of Ethics and Conduct contains guidelines on how to act in various situations when representing Mercator and Montana & Montana in a business context, towards colleagues, conflicts of interest as well as compliance and whistle-blowing.

Honest and Ethical Conduct
Mercator and Montana & Montana has a zero tolerance policy on bribery and corruption. You are not allowed to accept or offer bribes in any circumstances as set out in Mercator and Montana & Montana’s Anti-Bribery and Corruption Policy.
Mercator and Montana & Montana has zero tolerance against discrimination or harassments due to gender, ethnicity, nationality, religion, sexual orientation, age, handicap, marital or parental status or political opinion. All employees shall be treated fairly and equally. We will honor and value the abilities and contributions of others, embracing the responsibility and accountability for our actions in this regard.
Mercator and Montana & Montana comply with all applicable laws, rules and regulations. It is the personal responsibility of each employee, officer and director to adhere to the standards and restrictions imposed by those laws, rules and regulations in the performance of their duties for the Company, including those relating to accounting and auditing matters and insider trading.
Mercator and Montana & Montana's shares will be listed stock exchange shortly. We ensure that information that is provided to the stock market is accurate and reported in accordance with relevant laws, stock exchange rules and corporate governance codes. We are truthful in our financial and non-financial communication and information is given to the best of our knowledge. Our aim is full accountability.
In carrying out the Company's business, employees, officers and directors often learn confidential or proprietary information about the Company and its business partners. Employees, officers and directors must maintain the confidentiality of all information so entrusted to them, except when disclosure is authorised or legally mandated.
Our employees are key to our success. We strive to attract, develop and retain qualified and motivated people in a professional, safe and healthy working environment.
We treat Mercator and Montana & Montana's assets and the equipment we use at work in a responsible manner. Mercator and Montana & Montana's assets may not be used for private purposes or personal gain.
Based on the risk that you can put yourself and others in dangerous or awkward situations, you must not use or be under the influence of illegal drugs, alcohol or anything similar during working hours.
Conflicts of interest
Conflict of interest may arise if your personal interests compete or conflict with the interests of Mercator and Montana & Montana. Fidelity or service to the Company should never be subordinated to or dependent on personal gain or advantage. Employees, officers and directors of Mercator and Montana & Montana are expected to avoid personal activities and financial interests which could conflict with their responsibilities to the Company.
You must not carry on business on behalf of Mercator and Montana & Montana with relatives and/or other persons that you have a close personal relationship with.
While you are employed or hired by Mercator and Montana & Montana you must not take up employment or run your own business outside the Company without the Company´s written approval (from your Manager or HR).
Compliance & Whistle-blowing
The CEO is responsible for implementing these principles and is supported in this by the Group Management of Mercator and Montana & Montana. Day to day responsibility is delegated to all Managers of the geographies and functions and if necessary through more detailed guidance tailored to local needs. It is your responsibility to make sure that you understand the content of Mercator and Montana & Montana's Code of Ethics and Conduct and that you observe these guidelines in your daily work.
Acts that are inconsistent with the Code must be promptly corrected and are subject to disciplinary action up to termination of employment. Employees are encouraged to report violations of the Code by reporting the misconduct by contacting his/her immediate superior, any member of the Group Management or HR at code@mercator.direct.
Regardless of the reporting channel, all allegations of potential violations of the Code that are made in good faith, will receive a swift and fair investigation conducted with the relevant internal and/or external assistance.
Each director, officer or employee must not retaliate against any other director, officer or employee for reports of potential violations. Provision has been made for employees to be able to report in confidence and no employee will suffer as a consequence of doing so.
The Company will inform all concerned whenever there are any major changes or updates in the Code.
